We are dedicated to providing you with a robust, user-friendly point-of-sale software solution (the “App”), along with its related websites, subdomains (the “Website”), integrated services, and tools designed to help businesses manage sales, inventory, customer data, employee shifts, payment processing, and more (collectively referred to as the “Services”).

Please read the following Terms & Conditions (the “Terms”) carefully, as they govern your access to and use of our App, Website, and Services, and form a legally binding agreement between you and GPOS System (“GPOS”, “Provider”, “we”, “our”, or “us”). These Terms apply to all users of our Website and App (collectively, the “User” or “you”).

By using the Website, the App, or any of the Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must immediately stop using our Services.

A. Registration Obligations

By registering for an account (“Account”) on gposs.com or through the GPOS mobile or web application (collectively, the “Platform”), you confirm that you are the sole authorized user of that Account and that you agree to these Terms and Conditions.

Registration may be subject to applicable charges based on the specific services offered. Please note that registering for an Account does not automatically guarantee access to or use of all features or services of the GPOS System.

You are required to provide complete, accurate, and up-to-date information during registration. You are solely responsible for maintaining and promptly updating your information through your account dashboard to ensure its accuracy.

GPOS bears no responsibility for any unauthorized use of your Account and expressly disclaims liability for any losses or damages resulting from such use. If you suspect that someone else is using your Account without your authorization, it is your responsibility to notify us immediately by emailing support@gposs.com.

By submitting your personal information during the registration process and while using our services, you give your express consent for GPOS to:

  • Contact you directly regarding your account or service usage,
  • Send you important system or service updates,
  • Share promotional offers or marketing communications via email, text message, or app notifications,
  • Reach out to you occasionally to gather feedback or conduct service-related surveys.

GPOS reserves the right, at its sole discretion, to restrict, suspend, or permanently terminate your Account if there is reasonable belief that:

  • You have violated these Terms and Conditions,
  • You have provided false or misleading information,
  • You are engaged in any unlawful or unauthorized activity,
  • You are misusing the services in any manner.

As a user, you agree to:

  1. Provide true, accurate, and complete information on the GPOS registration form;
  2. Maintain and promptly update your account information to ensure accuracy at all times;
  3. Keep your login credentials secure and confidential;
  4. Accept full responsibility for all activities that occur under your Account.

If GPOS finds that the information you’ve provided is false, inaccurate, incomplete, or outdated, we reserve the right to suspend or permanently deny access to your Account and the Services.

B. User Accounts

To access and use the services provided by GPOS System via our website (gposs.com) or mobile applications (collectively, the “Platform”), all users (“Users”) are required to create and maintain a registered user account (“Account”).

1. Account Registration

Each User must register individually to use our Services. Unless explicitly approved by GPOS, a User is allowed to register and operate only one Account. GPOS reserves the right to reject a registration request or terminate an existing Account if we reasonably believe that:

  • A User has created or is controlling multiple Accounts simultaneously, or
  • A User’s application or behavior does not comply with our policies or security standards.

Upon successful registration, GPOS will assign a unique user identification code and the User will select a password (together referred to as the “User ID”) for secure access to their Account. In some cases, an Account may also include a web-based email account with limited storage for sending or receiving business communications related to the GPOS System.


2. Responsibility for Account Security

Each User is solely responsible for:

  • Maintaining the confidentiality of their User ID and password
  • Ensuring that no other person outside of their own business has access to or uses their Account
  • All activities carried out under their Account, including (but not limited to):
    • Subscribing to services

    • Sending messages or emails

    • Accepting additional terms or agreements

    • Posting data or content

If you suspect any unauthorized access or use of your Account, you must notify GPOS immediately at [Insert Support Email].


3. Prohibited Account Practices

Users may not share their Account credentials with others outside their organization or allow external users to access their Account under any circumstances. This includes what is referred to as “Multiple Use” — the practice of giving access to multiple individuals who are not authorized or part of the User’s own business.

Such actions are strictly prohibited and may result in:

  • Immediate suspension or termination of the Account
  • Legal action or financial liability
  • Full indemnification of GPOS, its affiliates, employees, agents, and representatives for any direct or indirect damages (including but not limited to loss of revenue, data breaches, or legal penalties) caused by unauthorized account access or multiple use

4. Limitation of Liability

GPOS shall not be held liable for any loss, damage, or unauthorized activity arising from:

  • The User’s failure to safeguard their login credentials
  • Any form of unauthorized or multiple access to the Account by third parties
  • Misuse of features or services offered within the Account

We reserve the right to investigate and take appropriate legal or administrative action, including but not limited to suspension or deletion of the Account, in response to any violation of these Terms.

C. Users’ Responsibilities

By registering for, accessing, or using the GPOS System (“GPOS”, “we”, “our”, or “us”) platform and services, users (“User(s)”, “you”, or “your”) acknowledge, represent, warrant, and agree to the following terms and conditions regarding your responsibilities:


1. Legal Authority and Business Use

  • You affirm that you have full legal authority to enter into these Terms & Conditions, grant required permissions, and fulfill your obligations hereunder.

  • You agree to use the GPOS website, applications, and services exclusively for lawful, business-related purposes.

  • Upon registering or subscribing, you consent to the inclusion of your contact and business information in our user database, and you authorize GPOS and its affiliates to share this information with other users or utilize it internally for service improvement, support, or other business operations.


2. User Content Responsibilities

You are solely responsible for all content you submit, upload, post, or display through GPOS, including but not limited to data, text, images, documents, and business-related materials (“User Content”). You agree that:

  • You have obtained all necessary third-party licenses, rights, and permissions for your submitted content.

  • Your content does not infringe upon or violate any third-party intellectual property or personal rights, including copyrights, trademarks, patents, trade names, trade secrets, or privacy rights.

Additionally, you affirm that neither you nor any of your affiliates are subject to trade restrictions, sanctions, or legal prohibitions imposed by any government, international organization, or jurisdiction.


3. Acceptable Use of User Content

You further warrant that any User Content submitted, posted, or displayed on the GPOS platform shall:

  • Be truthful, accurate, complete, and lawful

  • Not be false, deceptive, misleading, or defamatory

  • Not include any harassing, obscene, offensive, sexually explicit, or harmful content, especially content harmful to minors

  • Not promote or contain discriminatory content based on race, gender, religion, nationality, disability, sexual orientation, or age

  • Not violate any additional GPOS terms, service conditions, or agreements

  • Not breach any applicable laws or data protection regulations

  • Not link to any websites or content that violates these Terms


4. Platform and Service Conduct

As a GPOS User, you agree to conduct yourself professionally and ethically. Specifically, you agree to:

  • Conduct business with other users in good faith

  • Abide by these Terms and any related agreements

  • Not engage in fraud, impersonation, misrepresentation, spamming, phishing, or any illegal activity

  • Not duplicate, reproduce, reverse engineer, or misuse any proprietary data, software, content, or listings found on GPOS

  • Not upload or transmit viruses, malware, or any other harmful code designed to interfere with GPOS systems, networks, or other users’ data

  • Not compromise system integrity, attempt unauthorized access, or disrupt operations of GPOS or its users

  • Not engage in business activities that directly compete with GPOS or are designed to replicate or imitate GPOS services

You also affirm that neither you, nor your directors, officers, controlling parties, or affiliates are subject to sanctions or legal restrictions from any international, governmental, or regulatory authority.


5. Cooperation and Compliance

  • You agree to provide all necessary information, approvals, and cooperation reasonably required by GPOS to:

    • Deliver our services effectively

    • Investigate complaints or reports of misconduct

    • Assess compliance with these Terms

  • Failure to provide such cooperation may lead to suspension, delay, or termination of your access to services. In such cases, GPOS is not liable for any resulting loss or damages, nor is it obligated to extend service periods.


6. Legal Compliance

You are solely responsible for ensuring that your use of the GPOS platform complies with all applicable local, national, and international laws, including but not limited to:

  • Data protection regulations

  • Business licensing requirements

  • Consumer protection laws

GPOS disclaims any liability for your failure to comply with such regulations.


By continuing to use the GPOS platform, you accept these responsibilities and agree to uphold these standards throughout your engagement with our services.

Permission to Use the Website and Application

GPOS System (“GPOS”, “we”, “our”, or “us”) grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the GPOS website (https://gposs.com) and its associated web or mobile applications (collectively, the “Platform”) strictly for your personal or internal business purposes, subject to the terms outlined in this Agreement.

You are not permitted to download (except for standard web caching), modify, reproduce, duplicate, distribute, or create derivative works from any portion of the Platform without our prior express written consent.


Prohibited Uses and Restrictions

Your access to and use of the Platform is subject to the following restrictions. You may NOT:

  • Use the Platform or any part of it for commercial resale, redistribution, or public display.

  • Copy, duplicate, download, or use account data, business information, service listings, or any portion of content for the benefit of any third party.

  • Use data mining, bots, crawlers, or other similar tools to extract or gather data from the Platform.

  • Frame, mirror, or deep-link any part of the Platform, or enclose any logo, trademark, proprietary image, page layout, or other content using framing techniques without our written authorization.

  • Use any meta tags or hidden text utilizing the GPOS name, brand, trademarks, or copyrighted material without our express written permission.

  • Use the GPOS name, logo, or any proprietary graphic or trademark as part of a link or for any promotional, personal, or commercial purpose without explicit authorization.

Any unauthorized use immediately terminates the limited access and license granted by GPOS, with or without prior notice.


Restricted Activities

By using the Platform, you agree not to engage in any of the following restricted activities. Violations may result in immediate suspension or termination of your user account, removal of services, cancellation of business transactions, and possible legal action:

  • Refusal to comply with these Terms or any other GPOS policy or guidelines posted on the Platform.

  • Impersonating any person or entity or misrepresenting your affiliation with another individual or organization.

  • Using the Platform for illegal, unethical, or fraudulent activities.

  • Attempting to gain unauthorized access to any part of our systems or networks, or interfering with the operation of the Platform, services, or the experience of other users.

  • Posting, transmitting, uploading, or promoting illegal or prohibited content as defined by local, state, national, or international laws applicable to your use of our Services.

  • Uploading or transmitting any viruses, malware, harmful code, or corruptive elements that may compromise or damage the Platform or the systems and devices of other users.

  • Using the Platform in ways that violate internet usage standards, applicable laws, or any connected network’s acceptable use policies.


Security and Integrity

You agree not to attempt to undermine the integrity, security, or performance of the Platform or its underlying infrastructure. This includes, but is not limited to:

  • Gaining unauthorized access to GPOS servers or data

  • Interfering with other users’ accounts, data, or operations

  • Introducing malicious or disruptive elements into our systems

Such actions are strictly prohibited and will be dealt with seriously, potentially involving legal enforcement.

E. User Conduct

By accessing and using the GPOS system (gposs.com), you agree to use the Website/App responsibly and lawfully. You must not use the platform in any way that may disrupt, damage, disable, or impair the Website/App, or interfere with any other party’s use of it. Any activity that harms or attempts to harm GPOS, its systems, its staff, partners, stakeholders, or associated entities—directly or indirectly—is strictly prohibited.

You are solely responsible for all electronic communications and content sent from your device to GPOS. You agree to use the Website/App only for legitimate and lawful purposes. Specifically, you must not use the platform:

  • For any fraudulent purpose or in connection with any illegal or criminal activity.

  • To upload, post, or distribute any content that:

    • You do not own or have the right to use;

    • Is illegal, offensive, abusive, defamatory, obscene, pornographic, harassing, or otherwise inappropriate;

    • Promotes hate, racism, violence, or discrimination;

    • Violates copyright, trademark, privacy, or any other legal rights;

    • Encourages or promotes gambling, money laundering, or harm to minors;

    • Impersonates another person or misrepresents your identity;

    • Contains viruses, malware, unsolicited promotions, political propaganda, spam, or mass messaging;

    • Threatens national security, public order, or international relations.

  • To create unnecessary annoyance, inconvenience, or anxiety for others.

  • For any purposes outside the scope of the intended and authorized use of the GPOS system.

Violation of these guidelines may result in suspension or termination of your access to GPOS services, and legal action where applicable.

F. User Violations and Disciplinary Actions

If a User violates any of the Terms of Service, or if GPOS (gposs.com) has reasonable grounds to believe that a User has breached these Terms, GPOS reserves the exclusive right to take any disciplinary actions deemed necessary. These actions may include, but are not limited to:

  • Temporarily suspending or permanently terminating the User’s GPOS account and any associated accounts as determined at the sole discretion of GPOS;

  • Restricting, limiting, suspending, or revoking the User’s current or future access to any GPOS services or subscription features;

  • Imposing usage limitations or disabling specific features or functions available to the User as deemed appropriate by GPOS;

  • Enforcing any additional corrective measures, penalties, or disciplinary actions GPOS considers necessary, based solely on its judgment.

Examples of activities that may be considered breaches include, but are not limited to:

  • Upon receiving a valid complaint or claim from a third party, GPOS has reason to believe the User has deliberately or materially failed to fulfill obligations under a contract or transaction;

  • GPOS has reasonable suspicion that the User engaged in fraudulent transactions, including but not limited to using stolen or unauthorized payment methods;

  • Any information provided by the User is suspected to be false, outdated, incomplete, inaccurate, or intentionally misleading;

  • GPOS determines that the User’s actions could potentially result in legal liability or financial harm to GPOS, its affiliates, or other users.

GPOS reserves full discretion in determining whether a violation has occurred and what enforcement actions are appropriate to safeguard the integrity and functionality of its services.

G. Payment Information


Users agree to provide full and timely payment for any Services offered by GPOS System in advance of the service period. All payments must comply with the terms outlined either on the gposs.com website or through a separate agreement between GPOS System and the User. Continued access to the Services is contingent upon adherence to these payment terms.

H. Indemnification and Limitation of Liability


You agree to indemnify, defend, and hold harmless GPOS System, its directors, officers, employees, agents, licensors, partners, and content providers from and against all claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of your use of the Services, any violation of these Terms, or the actions of any person accessing the Services on your behalf.

GPOS System shall not be liable for any content transmitted through its platform, including but not limited to fraudulent, inaccurate, defamatory, offensive, or illegal materials. You assume full responsibility for any risk associated with such content. GPOS System reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify GPOS System, and you agree to cooperate with GPOS System in asserting any available defenses.

I. User Warranties

By using the Services, you represent and warrant that:
(a) You are of legal age and capacity to enter into these Terms;
(b) You are authorized to use the device through which you access the Services;
(c) Your use of the Services complies with these Terms and applicable laws.

If you are acting on behalf of an organization, you represent that you are authorized to bind that organization to these Terms. All references to “you” and “your” shall include the organization.

J. Disclaimer


GPOS System provides all Services “as is” and “as available,” with no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. GPOS does not guarantee the Services will be error-free, uninterrupted, or that they will meet your expectations.

Any service completion timelines provided are estimates only and do not form a binding commitment. By continuing to use the Services, you accept these Terms and any updates posted on gposs.com.

K. Disclosure to Law Enforcement


GPOS System reserves the right to fully cooperate with law enforcement agencies, regulatory bodies, private investigators, and affected third parties regarding any suspected legal violations. Where permitted by law, GPOS may disclose user data, including identity, account details, and transaction history, in response to subpoenas, legal requests, or as part of an investigation. GPOS shall not be liable for any loss or damages resulting from such disclosures, and Users waive any claims related to such actions.

L. Responsibilities of GPOS System


GPOS System commits to delivering Services in accordance with applicable standards and requirements. We will make reasonable efforts to meet agreed timelines, maintain legal compliance, and hold all required licenses, permits, and certifications.

We are committed to maintaining the confidentiality and security of your sensitive data and will implement suitable measures to protect it against unauthorized access or disclosure. GPOS will also strive to resolve any issues or concerns you may have during the course of service delivery to ensure your satisfaction and meet your expectations.

M. Changes to Site Content and Services

GPOS reserves the right to modify, update, or revise the content of its Services and Website (https://gposs.com) at any time without prior notice. Such changes may affect features, functionality, and other aspects of the Service.

N. License

Subject to these Terms, GPOS grants you a limited, non-exclusive, non-transferable license to use its Services solely to manage and operate your business. This license does not allow for resale or use of the Services for processing third-party data. All rights, titles, and interests in the Services and any accompanying materials are and shall remain the exclusive property of GPOS.

O. Upgrades

These Terms do not automatically entitle you to Service upgrades (“Upgrades”). To obtain an Upgrade, you must submit a request for a new order. Approval of any Upgrade is at GPOS’s discretion, though not unreasonably withheld.

P. Intellectual Property Rights

Except for content you provide, all content, trademarks, graphics, and software included in the Services, Website, and App are the intellectual property of GPOS or its licensors. You are granted a limited license to access and use this material in accordance with these Terms. You may not copy, modify, distribute, transmit, create derivative works, or commercially exploit any part of the Website, App, or Services without prior written consent from GPOS.

The names GPOS, the GPOS logo, and gposs.com are trademarks or registered trademarks of GPOS. Use of these marks is strictly prohibited without explicit permission. All other trademarks displayed on the Website belong to their respective owners.

Q. Limitations

You agree not to:

  • Resell, sublicense, distribute, or make our Services available to third parties, except as permitted for running your own business;

  • Modify or create derivative works of our Service;

  • Create links to, frame, or mirror the Service on other platforms;

  • Use the Service to develop or promote a competing product or service;

  • Copy features, functionality, or design elements of the Service.

R. Infrastructure and Hosting

GPOS will provide and manage the cloud infrastructure required to operate the Services as outlined in these Terms, including hosting, server operations, and application functionality.

S. Service Availability

GPOS strives to maintain 24/7 Service availability. However, downtime may occur due to maintenance, system upgrades, or unforeseen disruptions such as power outages, hardware failures, natural disasters, or internet failures. GPOS will make reasonable efforts to minimize downtime but is not liable for losses incurred due to service interruptions.

T. Payment and Refund Policy

You agree to pay the fees associated with your selected plan. Payment is due within three (3) days of account activation. Late payments may result in account suspension or restricted access. GPOS reserves the right to adjust pricing and will notify you of such changes. Continuing to use the Service after a price change constitutes acceptance of the new pricing.

If you cancel your subscription, access will continue until the end of the current billing cycle. No refunds will be issued for unused time. For annual subscriptions, you may request a full refund within 14 days of payment. Approved refunds will be processed within 5 business days and the account deactivated.

U. Term and Termination

The term begins upon accessing the Website, App, or Service and continues until terminated by either party. GPOS may suspend or terminate your account for violating these Terms, including failure to make timely payments. You may terminate your subscription at any time, but any outstanding balances must be paid in full.

V. Deletion of Your Information

You maintain ownership of your personal data and any User Content. To delete your data from our systems, simply contact GPOS. We will verify your identity and process your request as quickly as possible. Once deletion is complete, we will notify you.

W. Third-Party Services and Content

GPOS may provide access to third-party tools, content, and websites. Your use of any third-party services is at your own risk and governed by their respective terms. GPOS is not responsible for third-party content, performance, or disputes.

X. General Terms

  • If any part of these Terms is deemed invalid, the rest remains enforceable.

  • GPOS may assign or transfer its rights without notice. You may not assign your rights without written consent.

  • GPOS’s liability is limited to re-supplying the Services, paying the cost of doing so, or refunding the relevant amount.

  • We are not liable for data loss, business loss, or indirect damages.

  • These Terms are governed by the laws of the State of Delaware, USA. Disputes must first be reported via email. If unresolved within 45 days, further legal action may be pursued in the appropriate Delaware court.

  • These Terms constitute the entire agreement between you and GPOS.

Terms and Conditions – GPOS Connect

These Terms and Conditions (“Agreement”) govern your use of GPOS Connect, a cloud-based messaging and communication solution integrated with GPOS (the “Service”). This Agreement includes our Privacy Policy and Acceptable Use Policy (“AUP”). By registering, accessing, or using GPOS Connect through your GPOS account (an “Account”), you acknowledge that you have read, understood, and agreed to be bound by this Agreement.

If you do not agree to these terms, do not use GPOS Connect. This Agreement includes a binding arbitration clause and waiver of class actions. Please review carefully.

  1. Defined Terms

  • “GPOS Connect” refers to the suite of messaging services provided by GPOS through your GPOS account at gposs.com.

  • “Client Data” includes any data submitted to GPOS by or on your behalf, including information about your end users collected via GPOS Connect.

  • “Client Properties” means your websites, apps, or platforms that you operate or control, where GPOS Connect is deployed.

  • “Order” refers to your purchase of GPOS Connect or upgrades via your GPOS Account.

  • “Subscription Period” is the term of your subscription, as outlined below.

  • “Third-Party Platforms” are services or products not provided by GPOS that are integrated or accessible through GPOS Connect.

  • “Trial Subscription” is a free or temporary subscription for evaluation purposes.

  • “Beta Offerings” refers to unreleased or test-phase features or services provided by GPOS.

  1. Scope of Service

GPOS Connect is an integrated SaaS solution designed to manage business-customer communications. It connects seamlessly with GPOS for centralized management of messages, customer interactions, and data import/export via supported third-party integrations.

  1. Trial Subscriptions

You may use GPOS Connect on a free trial basis for seven (7) days, unless otherwise specified. Trial access is solely for evaluating whether to purchase a paid subscription. Trial features may be limited. We may terminate a Trial Subscription at any time without notice or liability.

  1. Beta Features

You may choose to access Beta Offerings. These are provided “as-is” with no guarantees and may change without notice. We do not assume liability for Beta Offerings. Use them at your own risk.

  1. Subscription Term and Renewal

Unless otherwise agreed in writing, the initial Subscription Period is six (6) months. Your subscription will automatically renew on a month-to-month basis unless you cancel at least thirty (30) days before the end of the current term.

  1. Cancellation and Termination

  • Cancellation for Refund: You may cancel within three (3) days of purchase for a full refund.

  • Termination: You may terminate with 30 days’ notice prior to renewal. No refunds will be provided beyond the initial cancellation window.

  • Non-payment: We may suspend or terminate your Account if payment fails. We provide a 7-day grace period to resolve payment issues.

  • Account Termination: We may suspend or terminate your Account for violations of this Agreement or at our discretion.

Upon termination, you must stop using GPOS Connect, and we may delete your data. We are not liable for data loss post-termination.

  1. Fees and Billing

You agree to pay all subscription fees, taxes, and additional service fees listed on your Order. Charges for optional features such as third-party integrations are billed separately.

  1. Recurring Billing Authorization

By providing your payment information (credit card, PayPal, or bank account), you authorize recurring billing at the start of each billing cycle. It is your responsibility to keep payment information current.

Fees are due in advance—monthly or semi-annually, based on your plan. You must pay in full by the due date. We may offset outstanding amounts against credits or balances you hold with us.

  1. Late Payments

Overdue payments incur late charges at the lesser of 18% annually or the maximum legal rate.

GPOS Connect may not be used for services related to adult content, pharmaceuticals, firearms, or marijuana-related businesses.

Features may be restricted based on regional laws or third-party policies. We are not liable for delays caused by third-party networks, carriers, or providers.

We aim for 24/7 availability but do not guarantee uninterrupted service. Scheduled maintenance and force majeure events may result in downtime.

  1. International Use

If you are located outside the U.S. or use GPOS Connect with customers outside the U.S., additional terms may apply based on local regulations. Please refer to the jurisdiction-specific appendix or contact us at support@gposs.com.

We reserve the right to update this Agreement. Changes will be posted at gposs.com/terms with a future effective date. Continued use of the Service implies acceptance of any changes.

GPOS Connect – Third-Party Platform Integration & Legal Terms

  1. Integration with Third-Party Platforms

GPOS Connect may integrate with select third-party platforms (e.g., Facebook, Google, WhatsApp, etc.) to enhance your communication, marketing, and customer service capabilities. To enable such integration, you may be required to provide authentication credentials for these platforms. By enabling GPOS Connect integrations, you authorize us to access and retrieve relevant data from these platforms on your behalf, strictly for the purposes described in this agreement.

You are solely responsible for complying with the terms and policies of the third-party platforms you choose to integrate with, including maintaining your accounts in good standing. GPOS assumes no responsibility or liability for how these platforms utilize or process any data once it has been exported from our system.

Please note that integrations may be modified, suspended, or removed at any time without prior notice.

  1. Third-Party Messaging Apps

If you connect GPOS Connect with third-party messaging services (such as WhatsApp Business, Telegram, Messenger, etc.), you affirm that you are authorized to use such services and that your use complies with their terms of service. You also authorize GPOS to create or manage accounts with such services on your behalf, if required. GPOS is not responsible for the operation, delivery, security, or reliability of any third-party messaging network or its APIs.

  1. Beta Features with Third Parties

If you request to use beta or pre-release features of third-party integrations via GPOS Connect, you do so at your own risk. GPOS will not be held liable for any issues, errors, or data loss that may result from use of such experimental or beta-level functionalities.

  1. Limitation of Liability & Disclaimers

GPOS shall not be held responsible for any dispute between you and your customers that arises from the use of GPOS Connect. In the case of service disruption due to technical errors on our part, we may, at our sole discretion, offer service credits or makegood services, but we do not provide refunds under any circumstance.

Maximum liability under this agreement shall not exceed the total amount you paid for GPOS Connect within the twelve (12) months preceding any claim.

  1. Dispute Resolution and Arbitration

By using GPOS Connect, you agree to resolve any disputes exclusively through binding arbitration under the rules of the American Arbitration Association (AAA), to be held in New York, NY, unless mutually agreed otherwise. You waive your right to a jury trial and agree not to participate in any class action or collective proceedings.

Costs related to arbitration will be handled as deemed appropriate by the arbitrator. Arbitration outcomes are final, binding, and enforceable in courts of competent jurisdiction.

Exceptions to this arbitration clause include: actions in small claims court, requests for preliminary injunctive relief, and compliance with governmental inquiries.

  1. Intellectual Property & Content Usage

All content created by GPOS for your use (excluding your own uploaded content and third-party licensed materials) remains the exclusive property of GPOS. You may not reuse, reproduce, or distribute such content outside the GPOS platform without written permission.

By allowing us to use your brand, likeness, or content (e.g., via testimonials, photographs, logos), you grant us the right to publish and promote such content in relation to GPOS Connect across marketing channels.

  1. Client Representations

You warrant that:

  • You hold full rights to any content you provide and are not infringing upon third-party rights.

  • You and your users comply with applicable laws and platform terms.

  • You have secured proper consent from any individuals you communicate with using GPOS Connect.

  • Your business is legally registered and not involved in prohibited industries (e.g., adult services, controlled substances, firearms).

  • You will not use GPOS Connect for unlawful or deceptive purposes.

You agree to notify GPOS immediately if any of the above representations become inaccurate.

  1. Assignment, Severability, and Force Majeure

You may not assign this agreement without prior written consent from GPOS. If any provision is deemed unenforceable, the remainder of the agreement will remain in effect. Neither party will be liable for delays or failures caused by events beyond their control, such as natural disasters, government action, or internet outages.

  1. Export Compliance

You agree to comply with all applicable export control and economic sanctions laws of the United States and other jurisdictions. You certify that you are not located in, or associated with, any country or individual subject to U.S. embargoes or sanctions.

  1. Electronic Signature & Communication Consent

Your electronic acceptance of these terms carries the same legal weight as a physically signed contract. By providing your contact details, you consent to receive communications from GPOS via email, SMS, or automated calls. You can opt out by following unsubscribe instructions or by contacting GPOS Support.

  1. International Usage

If your business or customers are located outside the United States, you affirm that:

  • You are a legally operating entity in your country.

  • You are not offering or marketing prohibited goods or services.

  • Your usage of GPOS Connect complies with local laws and regulations.
